Minutes of Board Meeting on April 18, 2007, 2:00 p.m.
Oak Ridge Senior Center

Present:   Mike Bradshaw, Sandy Dean, Bob Keil, Judy Kibbe, Keith Kibbe, Charlie Kuykendall, Pete Lotts, Ken Moore, Fred Postma, Dave Reichle, Mary Helen Rose, Joe Setaro, Fred Shull, Troy Trotter,  Harriett Westmoreland, Don Wood, Bob Worrell

1. Opening Remarks.  President Dave Reichle stated that he and Mary Helen Rose are working on updating our Position Paper to a 2007 version, and he is also updating our list of Actions/ Accomplishments.  He reported that, in response to a call in the Federal Register for comments on DOE N 351.1, we have formally transmitted again our comments to DOE-HQ on the Notice.  The comments were also sent to members of the Tennessee Delegation (Senators Alexander and Corker; Congressmen Davis, Duncan, and Wamp), as well as to Gerald Boyd, Manager, DOE-ORO; and to heads of BWXT Y-12, ORNL, Bechtel Jacobs, and Wackenhut.   He said our first meeting with George Dials, new head of BWXT Y-12, was very positive. 

2. Pension Protection Act (PPA).  Bob Worrell reported on a draft letter sent to Don Wood by William E. Mason, an attorney who deals with benefit plans administration and advises on new Pension Protection Act (PPA) funding requirements, which will be in effect January 1, 2008.  Copies were distributed to some Board members for review and input prior to Mr. Mason’s finalizing his report. 

3. Treasurer’s Report.  Paula Wright was absent but had sent her report, copy of which had been distributed.  March was a very good month with 85 new Active Members, and balance on hand of $41,760.31

4. Communications.  Sandy Dean reported that she has submitted to Retiree News an article talking about the Secret City Festival and distribution of the DVD.  The article also mentions our Annual Meeting on September 26 with directions on how to get to Heritage Fellowship church, and, as usual, includes information on becoming a CORRE Active Member and where to send the money. 

Sandy also reported that a press release on our comments on DOE Notice 351.1 was sent to eight newspapers and one TV station.  Lotts will send her e-mail addresses for other TV stations.

5. ORNL Benefits Advisory Committee.   Fred Shull reported that the Committee met on April 16.  A letter will go out in a couple of weeks to employees or retirees about new management of the 401K program.  Meetings will also be held beginning the week of May 21 to explain the program to plan participants.

6. Legislative Committee.   Pete Lotts reported that members of the Committee have made a number of contacts to Senator Alexander’s office, but have received no replies.  Keith Kibbe was able to make contact with Senator Corker’s staff, and met last Friday with David Leaverton, head of the Knoxville office.  He had a very good meeting and was able to inform him about CORRE’s goals and issues involved.    Lotts noted that, as reported earlier in Reichle’s opening remarks, letters have been sent to members of the Tennessee Delegation with our comments on DOE N 351.1.  He said he has learned that Congressman Lincoln Davis’ local office has sent the comments to his Washington office.   Lotts will also send copies to other congressmen.  He said we need to do more work on promotion of changes to N 351.1, possibly through retiree organizations and union representatives.  

Regarding CORRE’s website, Lotts noted that he distributed copies of a proposed new outline, which Fred Postma said he thinks is excellent.  Lotts said a new piece of software, Dreamweaver, is needed for Postma.  Motion passed to approve spending about $125 for the software, which Lotts will purchase for Postma.  Lotts complimented and thanked Postma for all the work and the excellent job he is doing. 

7. Status of DVD Production.   Keith Kibbe stated that 1,000 copies of the DVD have been ordered, and should be received in about two weeks.  About April 1, members of the Executive Committee voted by e-mail to approve spending up to $2,500 for procurement of the DVDs and related expenses.  Lotts distributed copies of a plan for distributing the DVD and reviewed assignments.  

8. Nominating Committee.   Chairman Bob Worrell reported that the Committee in its deliberations has decided that it would be in the best interest of CORRE to extend the terms of certain Board members.   He read Resolution No. R01-07, which was developed by Don Woods, and motion passed unanimously to approve the resolution (copy attached). 

9. Adjournment.  The meeting adjourned at 3:40 p.m.

RESOLUTION EXTENDING TERM LIMITS FOR
MEMBERS OF THE BOARD OF DIRECTORS OF CORRE


Whereas, a Nominating Committee was duly appointed by the Board of Directors of CORRE pursuant to Article V.D of its Bylaws to propose a slate of Nominees for Board of Director Positions to be voted on at the 2007 Annual Meeting of Members; and


Whereas, the Nominating Committee through their deliberations and by exercising their best judgment to nominate the most qualified candidates for election to the Board concludes that by extending the terms of office for certain Directors would be in the best interest of CORRE; and


Whereas, the Nominating Committee recommends that term-limits of three consecutive
elected two year terms, set forth in Article IV.C of the Bylaws, be temporarily waived for certain Directors, extending their term of office through the year 2008;


Now, therefore, be it resolved that the Board of Directors of CORRE does hereby extend the terms of office, by unanimous vote, for one year beginning January 1, 2008 for the following Directors:

Pete Lotts, Charles Kuykendall, Tom Lemons, Mary Helen Rose, Joe Setaro, Don Wood
